Terms of Service

These Terms explain the rules for using redpathcg.com and Redpath’s public resources, what you can expect from us, and what Redpath expects from you. They do not replace a signed agreement for consulting or other paid services.

1. Acceptance and scope

These Terms of Service (“Terms”) are a binding agreement between you and Redpath Consulting Group, LLC (“Redpath,” “we,” “us,” or “our”). By accessing or using redpathcg.com or any webpage, form, assessment, diagnostic tool, downloadable resource, event page, webinar page, career page, or other online feature that links to these Terms (collectively, the “Website”), you agree to these Terms. If you do not agree, do not use the Website.

The Website is intended primarily for professional and business use. These Terms apply whether you browse, submit a form, download a resource, complete an assessment, register for an event, or otherwise interact with the Website. Additional terms presented with a particular feature also apply to that feature.

2. Service provider, eligibility, and organizational use

The Website is operated by Redpath Consulting Group, a U.S.-based Salesforce consulting firm serving higher education, nonprofit, public-sector, healthcare, foundation, and other mission-driven organizations. Redpath can be contacted using the information in Section 20.

You must be at least 18 years old and legally able to enter into these Terms to use the Website. If you use the Website on behalf of an employer, institution, agency, nonprofit, or other organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization. If applicable law prevents your organization from accepting a particular obligation in these Terms, that obligation applies only to the extent permitted by law.

3. What the Website provides

The Website provides information about Redpath, its services, experience, perspectives, events, and resources. It may also provide assessments, calculators, diagnostics, downloadable guides, videos, webinars, registration tools, scheduling links, career information, and ways to contact Redpath. We may add, modify, suspend, or discontinue Website content or features at any time.

Redpath works to keep the Website useful and current, but content may not reflect the latest product features, vendor requirements, laws, standards, or Redpath offerings. Dates, availability, statistics, examples, pricing references, timelines, and descriptions may change and are not binding unless included in a signed agreement.

4. Consulting engagements require a separate agreement

Using the Website, submitting a form, scheduling an introductory call, receiving a diagnostic result, or communicating with Redpath does not create a client-consultant, fiduciary, confidential, professional-advisor, or other service relationship. A consulting relationship begins only when Redpath and the client enter into a written agreement signed by authorized representatives, such as a master services agreement, statement of work, proposal, order form, or similar contract (a “Client Agreement”).

Client Agreements govern paid services, deliverables, project data, confidentiality, security, intellectual property, fees, warranties, liability, and other engagement-specific matters. If these Terms conflict with a Client Agreement, the Client Agreement controls for the applicable engagement. These Terms continue to govern use of the public Website unless the Client Agreement expressly states otherwise.

Do not submit protected health information, student education records, payment-card data, passwords, production credentials, sensitive personal information, confidential client data, or other restricted information through a public Website form. Redpath will provide an approved secure channel when sensitive information is needed for an engagement.

5. Permission to use the Website and resources

Subject to these Terms, Redpath grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable permission to access and use the Website for lawful professional, educational, evaluation, and internal organizational purposes. You may share links to public Website pages and may download and circulate Redpath resources within your organization for internal evaluation, planning, or training, provided that you keep all copyright, trademark, attribution, and other notices intact.

This permission does not transfer ownership. Without Redpath’s prior written permission, you may not publish, sell, license, commercialize, publicly distribute, materially modify, translate, create derivative works from, or use Redpath content to provide a competing service. Any permission not expressly granted is reserved.

6. Acceptable use

You may not use the Website in a way that violates law, harms others, or interferes with the Website or Redpath’s operations. In particular, you may not:

  • Submit unlawful, infringing, deceptive, defamatory, threatening, harassing, discriminatory, malicious, or privacy-invasive material.
  • Introduce malware, malicious code, corrupted data, excessive traffic, denial-of-service activity, or other material intended to damage, disrupt, or gain unauthorized access to a system, account, or network.
  • Bypass rate limits, access controls, security measures, robot exclusions, or other technical restrictions; probe or test a vulnerability without written authorization; or access non-public areas of the Website.
  • Use scraping, crawling, harvesting, bots, or other automated means contrary to machine-readable instructions or access controls, except for conventional public search-engine indexing.
  • Reverse engineer, decompile, disassemble, or attempt to discover source code, underlying models, proprietary scoring logic, trade secrets, or non-public technology, except to the limited extent applicable law expressly permits.
  • Use Website content or output to train, fine-tune, benchmark, or develop an artificial-intelligence system without Redpath’s written permission.
  • Misrepresent your identity, affiliation, authority, or the source of content; impersonate another person or organization; or use the Website for phishing, spam, fraud, or unauthorized solicitation.
  • Remove or alter legal notices, attribution, branding, watermarks, or technical protections; frame or mirror the Website; or imply Redpath endorsement without permission.
  • Encourage, enable, or assist another person to do anything prohibited by these Terms.

7. Diagnostics, automated features, and informational content

Assessments and diagnostic tools may generate scores, maturity levels, findings, comparisons, recommendations, or suggested next steps based on the information you provide and Redpath’s methodologies. If the Website includes artificial-intelligence or other automated features, their output may be incomplete, inaccurate, or inappropriate for a particular situation. You are responsible for reviewing inputs and outputs, correcting errors, and applying independent professional judgment before acting.

Website content and tool output are provided for general informational, educational, and business-development purposes. They are not a scoped assessment of your organization and do not constitute legal, tax, accounting, audit, investment, procurement, cybersecurity, regulatory, accessibility, or other professional advice. They also do not guarantee Salesforce performance, organizational outcomes, funding, revenue, adoption, compliance, or project success.

Resources may reference third-party frameworks, standards, benchmarks, products, services, or marks. Those references are descriptive and do not mean the third party sponsors, endorses, or guarantees Redpath’s content unless expressly stated.

8. Information and other material you submit

You may choose to submit contact information, assessment responses, messages, documents, registration details, application materials, or other content through the Website (“User Submissions”). You retain any ownership rights you have in your User Submissions. You represent that you have the rights and authority needed to submit them, that they are accurate to the best of your knowledge, and that their submission and Redpath’s permitted use will not violate law, contract, confidentiality duties, privacy rights, or intellectual property rights.

You grant Redpath and its service providers a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, format, analyze, and otherwise use User Submissions only as reasonably necessary to operate and secure the Website, respond to your request, administer an event or application, generate requested tool output, improve the applicable Website feature, comply with law, and exercise Redpath’s rights under these Terms. This license does not authorize Redpath to publish your non-public User Submissions for marketing purposes without permission.

Public Website forms are not confidential intake channels. Unless Redpath has signed a confidentiality agreement covering the information, do not assume that an unsolicited submission creates a duty of confidentiality. Client information submitted under a Client Agreement remains governed by that agreement.

9. Feedback

If you voluntarily provide feedback about the Website or Redpath’s offerings, you authorize Redpath to use, modify, and implement it for any lawful purpose without restriction, attribution, or compensation. Do not include confidential information in feedback.

10. Redpath content and intellectual property

The Website and its text, graphics, designs, photographs, videos, downloads, reports, diagnostic questions, scoring systems, recommendations, methodologies, software, code, interfaces, trademarks, service marks, logos, and other content (collectively, “Redpath Content”) are owned by Redpath or its licensors and are protected by intellectual property and other laws. Your use of the Website does not grant ownership of Redpath Content or permission to use Redpath’s names, marks, logos, or trade dress.

Salesforce and other third-party names, logos, product names, and marks belong to their respective owners. Salesforce is a registered trademark of Salesforce, Inc. Redpath’s partner status does not grant Website users any rights in Salesforce materials or imply that Salesforce endorses every Redpath statement, resource, or recommendation.

If you believe material on the Website infringes your copyright or other intellectual property rights, contact Redpath with enough information to identify the work, the allegedly infringing material, your contact information, and the basis for your claim. Redpath may remove or restrict material while reviewing a good-faith report.

11. Third-party websites, products, and services

The Website may link to, embed, or rely on third-party websites and services, including Salesforce, scheduling, video-conferencing, social-media, event-registration, recruiting, map, analytics, content-delivery, customer-relationship-management, sales-engagement, email, telephony, caller-verification, call-recording, and transcription services. Redpath does not control those services and is not responsible for their availability, security, accuracy, content, or practices. Your use of a third-party service is governed by that provider’s terms and privacy notice. A link or integration does not necessarily mean Redpath endorses the provider or its content.

12. Privacy

Redpath’s Privacy Notice explains how Redpath collects, uses, discloses, retains, and protects personal information associated with the Website, business-development communications, and other interactions with Redpath. By using the Website, you acknowledge that Redpath may process information as described in that notice.

13. Communications

When you submit a request, register for an event, complete a diagnostic, schedule a meeting, apply for a position, or otherwise interact with Redpath, you authorize Redpath to send communications reasonably related to that interaction. Redpath may also send insights, event invitations, and other marketing messages when permitted by law and consistent with the Privacy Notice. Where applicable law requires consent, Redpath will obtain it before sending the communication.

Redpath may conduct lawful business-to-business outreach by email or telephone using business contact information obtained from professional, public, referral, event, or service-provider sources. These Terms do not apply to a person solely because Redpath contacts that person outside the Website, and this section does not create consent where applicable law requires it.

You may unsubscribe from marketing email using the link in the message and may ask Redpath not to make marketing calls or send other business-development outreach. Redpath will honor applicable opt-out requirements. Operational or request-related communications may continue. If Redpath records, transcribes, summarizes, or analyzes a call, it will provide notice and obtain consent where required and will handle the information as described in the Privacy Notice.

You agree that notices and communications related to the Website may be provided electronically, including by email or a notice posted on the Website. You are responsible for providing accurate contact information and keeping it current.

14. Website availability, changes, and enforcement

Redpath may maintain, update, limit, suspend, or discontinue any part of the Website without liability. We do not guarantee uninterrupted access, preservation of User Submissions, or continued availability of a particular resource, result, event, or feature. You should keep your own copy of anything you need.

Redpath may block or restrict access, reject or remove a User Submission, cancel a registration, or take other reasonable action if we believe you have violated these Terms or law, created security or operational risk, infringed another person’s rights, or exposed Redpath or another party to harm or liability. When reasonably possible, Redpath may provide notice and an opportunity to clarify the issue, but notice is not required when it would compromise security, an investigation, legal compliance, or the rights of others. You may stop using the Website at any time.

15. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, REDPATH CONTENT, USER-SUBMISSION FEATURES, DIAGNOSTIC RESULTS, AUTOMATED OUTPUT, AND THIRD-PARTY LINKS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” REDPATH DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND RESULTS.

REDPATH DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, FREE OF HARMFUL COMPONENTS, OR SUITABLE FOR YOUR NEEDS; THAT DEFECTS WILL BE CORRECTED; OR THAT CONTENT OR OUTPUT WILL BE COMPLETE, CURRENT, OR ACCURATE. THESE DISCLAIMERS APPLY ONLY TO THE WEBSITE AND DO NOT REPLACE ANY EXPRESS WARRANTY IN A CLIENT AGREEMENT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Limitation of liability

These Terms limit Redpath’s responsibility only to the extent permitted by applicable law. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for Redpath’s gross negligence, willful misconduct, or fraud where applicable law prohibits such an exclusion.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REDPATH AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS; OR COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH LOSS IS POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REDPATH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID REDPATH SPECIFICALLY FOR USE OF THE WEBSITE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. LIABILITY ARISING FROM PAID CONSULTING SERVICES IS GOVERNED BY THE APPLICABLE CLIENT AGREEMENT, NOT THIS SECTION.

The limitations in this section apply regardless of the form of action and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so the limitations apply only to the extent permitted by law.

17. Indemnification for business and organizational users

To the extent permitted by law, if you use the Website for or on behalf of a business or organization, you will defend, indemnify, and hold harmless Redpath and its owners, directors, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, proceedings, damages, judgments, fines, penalties, losses, liabilities, costs, and reasonable legal fees arising out of or relating to: (a) your unlawful or unauthorized use of the Website; (b) your material violation of these Terms; (c) your User Submissions; or (d) your infringement or violation of another person’s rights. This obligation does not apply to the extent a claim results from Redpath’s gross negligence or willful misconduct.

If your organization is legally prohibited from accepting an indemnification obligation, including because of governmental authority, statutory restriction, or immunity, this section applies only to the extent legally permitted and does not waive a valid immunity or legal protection.

18. Disputes, governing law, and courts

Before filing a claim relating to the Website or these Terms, you and Redpath agree to make a good-faith effort to resolve the dispute informally. A party starting that process should send written notice describing the issue and requested resolution. If the dispute is not resolved within 30 days after notice is received, either party may pursue available legal remedies. This informal process does not prevent either party from seeking urgent injunctive or equitable relief.

Minnesota law governs these Terms and disputes arising out of or relating to the Website or these Terms, without regard to conflict-of-laws principles. Subject to any rights that cannot lawfully be limited, the state courts located in Hennepin County, Minnesota, and the United States District Court for the District of Minnesota have exclusive jurisdiction, and you and Redpath consent to personal jurisdiction and venue in those courts.

Nothing in these Terms limits non-waivable rights or remedies available under applicable law. Disputes arising from a Client Agreement are governed by that agreement, including its dispute-resolution and governing-law provisions.

19. Changes to these Terms and general provisions

Changes

Redpath may update these Terms to reflect changes in the Website, Redpath’s business, technology, law, security needs, or efforts to prevent misuse. The “Last updated” date identifies the most recent revision. Material changes will apply prospectively, and Redpath will provide additional notice when reasonably appropriate or legally required. By continuing to use the Website after revised Terms take effect, you agree to the revised Terms. If you do not agree, stop using the Website.

Entire agreement and order of precedence

These Terms, the Privacy Notice, and any feature-specific terms are the entire agreement between you and Redpath concerning the public Website. A Client Agreement remains a separate agreement and controls the applicable consulting engagement. If feature-specific terms conflict with these Terms, the feature-specific terms control for that feature.

Severability; waiver; assignment

If a provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective. Redpath’s failure to enforce a provision is not a waiver. You may not assign or transfer these Terms without Redpath’s prior written consent. Redpath may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the Website or relevant business.

No third-party beneficiaries; headings

These Terms do not create rights for anyone other than you and Redpath, except that the Redpath parties identified in Sections 16 and 17 may rely on those sections. Headings are provided for convenience and do not change the meaning of these Terms.
